1. Definitions

1.1. "TechnoMan IT Company" refers to the provider of IT services, including software and app development, described herein.

1.2. "Client" refers to the individual or entity entering into an agreement for services with TechnoMan IT Company.

1.3. "Project" refers to the specific software or app development project undertaken by TechnoMan IT Company for the Client, as outlined in the Scope of Work.

2. Scope of Work

2.1. TechnoMan IT Company agrees to provide IT services as described in the Scope of Work provided to the Client.

2.2. The Scope of Work will include details such as project objectives, deliverables, timelines, and costs, and will serve as a binding document once mutually agreed upon by both parties.

3. Payment Terms

3.1. The Client agrees to pay TechnoMan IT Company according to the payment schedule outlined in the Scope of Work.

3.2. Payment may be made through the payment methods specified in the invoice. Any late payments will incur interest charges as specified in the invoice or as required by law.

3.3. TechnoMan IT Company reserves the right to suspend work or terminate the project in the event of non-payment.

4. Intellectual Property

4.1. All intellectual property, including source code, design elements, and project deliverables, created by TechnoMan IT Company during the project will remain the property of TechnoMan IT Company until full payment is received.

4.2. Upon full payment, the Client will receive a non-exclusive license to use the project deliverables for the intended purpose, as outlined in the Scope of Work.

5. Confidentiality

5.1. Both parties agree to keep all project-related information and materials confidential and to not disclose them to third parties without prior written consent.

6. Development Timeline

6.1. TechnoMan IT Company will provide an estimated project timeline with milestones and deadlines. Any delays caused by the Client or unforeseen circumstances may impact the timeline.

7. Change Requests

7.1. Any changes to the project scope requested by the Client must be made in writing and may result in adjustments to the project timeline and costs, subject to mutual agreement.

8. Warranty and Support

8.1. TechnoMan IT Company warrants that project deliverables will be free from defects for a period specified in the Scope of Work.

8.2. The Client may request support and maintenance services beyond the warranty period, subject to additional fees.

9. Termination

9.1. Either party may terminate the agreement with written notice if the other party breaches its obligations, subject to any cure periods specified in the agreement.

10. Liability and Indemnification

10.1. TechnoMan IT Company's liability for damages is limited to the fees paid by the Client. The Client agrees to indemnify and hold TechnoMan IT Company harmless from any claims arising from the use of project deliverables.

11. Governing Law and Dispute Resolution
